General Terms and Conditions of Sale

The following General Terms and Conditions of Sale together with the documents referred to below, including the Privacy Policy, govern the offer and sale of products on our website, "shop.sonuus.com". Please read these terms and conditions carefully before ordering any products. You should understand that by ordering any of our products, you agree to be bound by these terms and conditions. We reserve the right to change these terms and conditions at any time. Any such changes will take effect when posted on the website and it is your responsibility to read the terms and conditions on each occasion you use this website and your continued use of the website shall signify your acceptance to be bound by the latest terms and conditions. 1. Our Business Policy

1.1. Sonuus offers products for sale on shop.sonuus.com to its customers (consumers as well as professional users). The present General Terms and Conditions of Sale don't apply to wholesale. For wholesale please contact us via our web site, or by telephone: +44 (0) 1480 477367.

1.2 "Consumer" shall mean any individual who is acting for purposes which are outside his or her trade, business or profession.

1.3 These General Terms and Conditions of Sale (together with the documents referred to herein) regulate the offer, transmission and acceptance of purchase orders relating to products on shop.sonuus.com between the users of shop.sonuus.com and Sonuus.

1.4 The General Terms and Conditions of Sale do not regulate the supply of services or the sale of products performed by third parties that are on shop.sonuus.com through links, banners or other hypertext links. Before sending orders and purchasing products and services from those third parties, we recommend that you verify the third party's terms and conditions. Under no circumstances shall Sonuus be deemed liable for the supply of services provided by third parties or for the execution of e-commerce transactions between users of shop.sonuus.com and third parties.

2. How to place an order with Sonuus

2.1 To place an order for the purchase of one or more products on shop.sonuus.com, you must fill out the online order form and send it electronically to Sonuus, following the relevant instructions.

2.2 The order form contains a link to these General Terms and Conditions of Sale, and also contains information on the main characteristics of each product ordered and the relevant unit price (including all applicable fees and taxes), the type of payment that you may use in order to purchase each product, shipping terms for the purchased products, shipping and delivery costs, and references to the terms and conditions for returning purchased products.

2.3 An order shall be deemed submitted when Sonuus receives your order form electronically and the order information has been verified as correct.

2.4 Before submitting your order form for the purchase of products, you will be asked to carefully read the General Terms and Conditions of Sale, to print a copy using the print option and to save or reproduce a copy thereof for your own personal use.

2.5 The order form will be filed in our database for the time required to process your order and as provided by law. You may access your order form by clicking on the section called My Orders in the My Account area.

2.6 Before submitting the order form, you will be asked to identify and correct possible input errors.

2.7 The submission of orders to Sonuus must be in English.

2.8 After your order form has been submitted, Sonuus will process your order.

2.9 Sonuus may not process purchases when there are not sufficient guarantees of solvency, when orders are incomplete or incorrect, or the products are no longer available. In the above cases, we shall inform you by e-mail that the contract has not been executed and that Sonuus has not carried out your purchase order specifying the reasons thereof. If the products displayed on shop.sonuus.com are no longer available at the time of your last access or once Sonuus has received your order form, Sonuus shall inform you of the unavailability of the ordered products within ten (10) days from the day after Sonuus has received your order. If the order form has been sent and the price has been paid for items that are no longer available, Sonuus will refund the amount paid for those items.

2.10 By submitting an order form to Sonuus, you unconditionally accept and undertake to observe the provisions of these General Terms and Conditions of Sale in your contract with Sonuus. Should you not agree with certain provisions of these General Terms and Conditions of Sale, please do not submit your order form for the purchase of products on shop.sonuus.com.

2.11 By submitting an order form, you agree and accept these General Terms and Conditions of Sale as well as further conditions contained on shop.sonuus.com, through links, including the Privacy Policy.

2.12 Upon submission of an order form, Sonuus shall send you a purchase order receipt e-mail, containing a summary of the information related to the order form (General Terms and Conditions of Sale, the products' main characteristics, detailed information on price, terms of payment, return policy and shipping costs).

3. Pricing

3.1 All prices are in Pounds Sterling and include all taxes (where applicable) at the current rates but do not include delivery charges. We may also display the price exclusive of VAT, but we shall show VAT separately and include it in the total price.

3.2 If you are a business customer in the EU with a VAT number, please contact us before purchase to arrange a sale excluding VAT.

3.3 If you are outside the scope of UK VAT (i.e., you reside outside the EU), VAT will be automatically removed when you checkout once your delivery address is known.

3.4 Where we charge separately for packing, carriage and insurance and other relevant charges, the appropriate rates are displayed when you checkout, based on the products you have ordered and the shipping destination.

3.5 Our prices are reviewed often and while we try to ensure that all prices on our website are accurate, errors may occur. If we discover an error in the price of goods you have ordered we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled. If you cancel and you have already paid for the goods, you will receive a full refund via the same payment method you used to place the order.

4. Payment

4.1 Sonuus takes payment immediately and all goods are subject to availability. In the event that we are unable to supply a product, we will inform you of this as soon as possible.

4.2 Methods of payments available are: PayPal. Payment may be made using debit or credit cards through PayPal. You don't require a PayPal account to make payment.

4.3 In the interests of preventing fraudulent use of credit, debit and charge cards, Sonuus' payment provider (e.g., PayPal) will validate the names, addresses and other information supplied during the order process against commercially available records (e.g. Electoral Roll data). A third party may also be instructed to complete these checks. By ordering from this website you consent to such checks being made. All information provided by you will be treated securely and strictly in accordance with the Data Protection Act 1998.

5. Delivery

5.1 Delivery charges apply to all orders unless otherwise stated.

5.2 We deliver goods to the same address as the Credit / Debit card used is registered or to another designated shipping address (e.g., a place of work).

5.3 Goods will not be shipped until payment for them has been fully cleared.

5.4 On delivery you must inspect the goods carefully for damage as Sonuus is unable to accept responsibility for damage in transit, shortage of delivery or loss of products unless the customer advises Sonuus of such within three working days from the date of delivery.

5.5 Deliveries that require a signature, must be signed for by an adult aged 18 years or over so please ensure there is somebody in to receive the ordered items. If nobody is at home, the courier will leave a card allowing you to rearrange for a second delivery attempt. If your delivery fails for a second time it will be taken back to the local depot. It is your responsibility to collect the parcel at this point.

5.6 Please note that non-UK shipping costs may vary depending on location and the size and weight of the goods. You will be contacted should this situation arise. If you are not shipping to a country within the European Union then you may be liable for Import Duty and VAT charges. Please check with a customs office in your country for information.

5.7 We aim to ship goods within 1-2 days of receiving the order. Unless otherwise agreed with you and subject to clause 14, delivery of the goods will be within 30 days beginning with the day after you ordered the goods. Risk of loss and damage of products passes to you on the date when the products are delivered or on the date of first attempted delivery by us.

6. Availability of Goods

6.1 All orders are subject to product availability. If the product you have ordered is not available from stock, you will be contacted by email or telephone and will have the option either to wait until the item is available, replace it with an alternative model or to cancel your order.

7. Warranty

7.1 All products supplied by Sonuus are warranted for defects for 24 months from the date of supply unless otherwise stated.

7.2 Should the goods develop a fault within the stated warranty, you should notify Sonuus in writing via Post, Fax or Email. You will be issued with a RMA Returns No. (Use our online Return Form to request a RMA.)

7.3 If your faulty item(s) are under 30 days old we will replace the item if stock is available and still current. For items that are over 30 days old, but within the 24 month period, Sonuus will repair your item(s), or send your item(s) back to the manufacturer for repair in the case where Sonuus are not the manufacturer of the product. If the product is not able to be repaired or replaced economically, Sonuus will refund your original purchase price, excluding any postage costs.

7.4 Software corruption, viruses and spyware issues are not covered under your warranty as this is classed as user error. Sonuus is not responsible for data loss from hard disk due to failure.

7.5 It is the customer's responsibility to back up their data. This warranty covers you for hardware defects only.

8. Withdrawal

8.1 You have the right to cancel the contract with Sonuus for the purchase of any item until within 14 days of delivery (from the day in which you acquire physical possession of the goods or from the day of the conclusion of the contract in case of service).

8.2 The costs for returning the goods to Sonuus will be born by you.

8.3 Sonuus will reimburse all payments including costs of delivery not later than 14 days from the day in which Sonuus is informed of your decision. You will receive a full refund via the same payment method you used to place the order.

8.4 Sonuus may withhold reimbursement until it has received the goods back or you have supplied evidence of having sent back the goods, whichever earliest.

8.5. You have to send back the goods no later than 14 days from the day on which you have communicated the decision to withdraw.

8.6. You are under a duty to take reasonable care of the goods, which means the goods must be unused.

8.7. Exception to withdrawal: supply or sealed audio, computer software unsealed after delivery; products made on your specifications

8.8 In the event that goods returned to us are not in the same condition you received them, we reserve the right to charge a restocking fee, thus a partial refund may be made instead of a full refund.

9. Exercise of the right of withdrawal

9.1 You should notify us in writing within fourteen (14) days, (from the day in which you acquire physical possession of the goods or from the day of the conclusion of the contract in case of service) by completing and submitting the online Return Form. You should keep a record of your cancellation notice. You can also print the Return Form downloading it from here and submit it via mail to the following address: Sonuus Direct, 34, Manor Heath Road, Halifax HX3 0BE, UK.

9.2 The products should not have been used and should be returned, complete with their original packaging, together with a valid receipt or other proof of purchase. Any free gifts, or bundled items delivered with the products must also be returned.

9.3 You have to send back the goods no later than 14 days from the day on which you have communicated us the decision to withdraw.

9.4 You are responsible for the costs of returning the goods to us unless we delivered the item to you in error or the item is faulty.

9.5 Damage in transit, shortage of delivery or loss of products must be reported to Sonuus within three working days from the date of delivery. Please email us using our Contact Us form.

10. Impossibility Of Performance

10.1 Sonuus shall be relieved of its obligations to perform the contract to the extent that the performance thereof is prevented by events or circumstances beyond our reasonable control including, but not limited to, fire, industrial dispute, war, labour disturbance, inclement weather or other causes beyond our reasonable control.

11. Governing Law and Jurisdiction

11.1 These terms and conditions shall be governed by and construed in accordance with English law.

11.2 Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.

11.3 Article 11.2 doesn't apply when the customer is a Consumer.

11.2 We do not warrant that materials/items for sale on the website are appropriate or available for use outside the United Kingdom. It is prohibited to access the website from territories where its contents are illegal or unlawful. If you access this website from locations outside the United Kingdom, you do so at your own risk and you are responsible for compliance with local laws.

12. Miscellaneous

12.1 You may not assign, sub-license or otherwise transfer any of your rights under these terms and conditions.

12.2 If any provision of these terms and conditions is found by any court of competent jurisdiction to be invalid, the invalidity of that provision will not affect the validity of the remaining provisions which shall continue to have full force and effect.

12.3 Only the parties to these terms and conditions may seek to enforce them under the Contracts (Rights of Third Parties) Act 1999.
